These Terms of Service ("Terms") govern your access to and use of Keyhand, operated by

Keyhand, you agree to these Terms.

1. What Keyhand is

Keyhand is a software platform for confidential business and property transactions — it provides

listings, secure "deal rooms", messaging, documents, inspections, offers/applications and

settlement tracking. Keyhand is a technology provider, not a party to any transaction. We are

not a real estate agent, business broker, licensee, financial adviser, or law firm, and we do not

provide legal, financial, taxation, or broking advice.

2. Eligibility and accounts

You must be at least 18 and able to form a binding contract. You are responsible for your account,

for keeping your credentials secure, and for all activity under your account. Provide accurate

information and keep it current.

3. Confidentiality and NDAs

Keyhand is built around confidentiality. Where a listing or deal room requires a non-disclosure

agreement (NDA) or access approval, you agree to honour it. Information disclosed to you through a

deal room is confidential and may only be used to evaluate or complete that specific transaction.

You must not copy, share, or misuse another party's confidential information.

4. Acceptable use

You agree not to: misuse or attempt to gain unauthorised access to the platform or another party's

data; scrape, harvest, or resell data; upload unlawful, infringing, misleading, or malicious

content; impersonate others; or use Keyhand to breach any law or third-party right.

5. Listings, deal rooms and transactions

Agencies and their agents are responsible for their listings and for the accuracy of information

they provide. Buyers, sellers, tenants, landlords and their advisers are responsible for their own

decisions and for obtaining independent professional advice. Any agreement reached is between those

parties — not with Keyhand.

6. Fees and subscriptions

Access to certain features may require a paid subscription (billed per seat or plan). Fees, billing

cycles and any taxes are as presented at purchase. Unless stated otherwise, fees are non-refundable.

We may change pricing on reasonable notice.

7. Your content

You retain ownership of content you upload. You grant Keyhand a licence to host, process and display

that content solely to operate and provide the service to you and the parties you share it with.

8. Intellectual property

Keyhand, its software, design and trademarks are owned by us or our licensors. These Terms grant you

a limited, non-exclusive, non-transferable licence to use the platform — no other rights are granted.

9. Third-party services and marketplaces

Keyhand may link to or interoperate with third-party services and marketplaces. We are not

responsible for third-party content, services, or practices; your use of them is at your own risk

and subject to their terms.

10. Disclaimers

The platform is provided "as is" and "as available". To the extent permitted by law, we exclude all

warranties not expressly stated. Nothing in these Terms excludes rights you have under the

Australian Consumer Law that cannot lawfully be excluded.

11. Limitation of liability

To the maximum extent permitted by law, Keyhand is not liable for indirect, incidental, or

consequential loss, or for loss of profits, data, goodwill, or business, arising from your use of

the platform. Where liability cannot be excluded, our total liability is limited to the amount you

paid us for the service in the 12 months before the claim.

12. Indemnity

You agree to indemnify Keyhand against claims and losses arising from your breach of these Terms,

your content, or your misuse of the platform or another party's confidential information.

13. Suspension and termination

We may suspend or terminate access if you breach these Terms or to protect the platform or other

users. You may stop using Keyhand at any time. Provisions that by their nature should survive

termination (confidentiality, IP, liability, indemnity) will survive.

14. Changes

We may update these Terms. Material changes will be notified through the platform or by email.

Continued use after changes take effect constitutes acceptance.

15. Governing law
